Terms of Service

1. Introduction

Welcome to Bridgenetic ("we," "our," or "the Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "User," or "you") and Bridgenetic Modern Payment Infrastructure, a company incorporated under the laws of the Federal Republic of Nigeria. By accessing, registering on, or using our payment infrastructure platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Bridgenetic provides modern payment infrastructure services including, but not limited to, virtual account generation, automated payment collection, merchant wallet management, fund disbursement, webhook notifications, and developer API access for businesses operating within Nigeria and across Africa.

2. Eligibility and Account Registration

To use our services, you must be a duly registered business entity or an individual of at least 18 years of age with the legal capacity to enter into binding agreements under Nigerian law. By creating an account, you represent and warrant that:

  • All information provided during registration is accurate, current, and complete.
  • You will maintain and promptly update your account information to keep it accurate.
  • You have the authority to bind the business entity you represent to these Terms.
  • Your use of the Platform does not violate any applicable law, regulation, or third-party agreement.

We reserve the right to suspend or terminate accounts that provide false, misleading, or outdated information during the Know Your Customer (KYC) verification process.

3. Know Your Customer (KYC) Compliance

In compliance with the Central Bank of Nigeria (CBN) regulations, Anti-Money Laundering (AML) directives, and Combating the Financing of Terrorism (CFT) requirements, all merchants must complete our KYC verification process before accessing full platform functionality. This process may include submission of:

  • Valid government-issued identification (National ID, International Passport, or Driver's License).
  • Certificate of Incorporation or Business Registration documents (CAC).
  • Proof of business address (utility bill or bank statement not older than 3 months).
  • Bank Verification Number (BVN) for identity validation.
  • Any additional documentation as may be reasonably required.

4. Services Provided

Bridgenetic offers the following core services to verified merchants:

  • Virtual Account Generation: Dedicated bank account numbers assigned to your customers for seamless payment collection via bank transfers.
  • Automated Payment Collection: Real-time detection and crediting of incoming transfers to your merchant wallet.
  • Merchant Wallet Management: A secure digital wallet with full ledger history, balance tracking, and fund management capabilities.
  • Fund Disbursement: Withdrawal of funds from your merchant wallet to any Nigerian bank account.
  • Webhook Notifications: Real-time HTTP callbacks to your server for payment events, transaction updates, and system notifications.
  • RESTful API Access: Comprehensive developer APIs for programmatic integration of payment services into your applications.

5. Fees and Charges

Our fee structure is transparent and competitive. Applicable fees include:

  • Transaction Fee: A percentage-based fee and/or flat fee applied to each successful inbound transaction, as displayed on your dashboard and our pricing page.
  • Withdrawal Fee: A flat fee charged per withdrawal request processed to your designated bank account.
  • No Setup Fees: Account creation and platform access carry no upfront charges.
  • No Monthly Fees: There are no recurring subscription or maintenance fees.

We reserve the right to modify our fee structure with at least 30 days' prior written notice via email or dashboard notification. Continued use of the Platform after such notice constitutes acceptance of the revised fees.

6. Acceptable Use Policy

You agree to use the Platform solely for lawful business purposes. The following activities are strictly prohibited:

  • Processing transactions related to illegal goods, services, or activities under Nigerian law.
  • Money laundering, terrorist financing, or any form of financial crime.
  • Fraudulent transactions, identity theft, or misrepresentation.
  • Operating Ponzi schemes, pyramid schemes, or unlicensed gambling platforms.
  • Distributing malware, conducting phishing attacks, or exploiting platform vulnerabilities.
  • Circumventing platform security measures, rate limits, or access controls.
  • Using the Platform to process transactions for sanctioned individuals or entities.

Violation of this policy may result in immediate account suspension, fund freezing, and reporting to relevant regulatory authorities.

7. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and secret keys. You agree to:

  • Use strong, unique passwords and enable all available security features.
  • Never share your API secret keys or account credentials with unauthorized parties.
  • Immediately notify us of any unauthorized access or suspected security breach.
  • Regularly rotate API keys and review access logs for suspicious activity.

Bridgenetic shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

8. Intellectual Property

All content, software, APIs, documentation, trademarks, logos, and proprietary technology on the Platform are the exclusive property of Bridgenetic Modern Payment Infrastructure and are protected by Nigerian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for its intended purpose.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Bridgenetic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of the Platform. Our total aggregate liability shall not exceed the total fees paid by you to Bridgenetic in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Bridgenetic, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Dispute Resolution

Any dispute arising from or relating to these Terms shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023. The decision of the arbitrator shall be final and binding.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent dashboard notification at least 14 days before taking effect. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

14. Termination

Either party may terminate this agreement at any time. Upon termination, you must cease all use of the Platform. Any outstanding balances in your merchant wallet will be disbursed to your registered bank account, subject to applicable fees and regulatory holds. Provisions that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) shall remain in effect.
